Terms of Service

Effective date: 19 September 2026

These Terms govern your use of OmniGolem, a messaging platform operated by Octane Labs, a sole proprietorship registered in Singapore (UEN 53458905K) and owned by Chen Shengxi, of 60 Paya Lebar Road, #06-28 Paya Lebar Square, Singapore 409051 ("OmniGolem", "we"). By creating an account or using the service you agree to them on behalf of yourself and the business you represent ("you", "Customer").

1. The service

OmniGolem provides a shared team inbox, message templates, contact management, and an API and webhooks for sending and receiving messages over WhatsApp and, in future, other channels ("Service"). We host it; you connect your own messaging accounts to it.

2. Accounts and eligibility

You must be at least 18 and authorised to bind the business you sign up for. Keep your credentials secure; you are responsible for activity under your account and your team members' accounts. Tell us at once if you suspect unauthorised access.

3. Your messaging accounts and Meta's terms

The Service works by connecting your WhatsApp Business Account through Meta's Embedded Signup. That account remains yours. By connecting it you confirm you have the right to do so and you agree to comply with the WhatsApp Business Messaging Policy, the WhatsApp Business Terms of Service, Meta's Platform Terms, and any other channel provider's terms. If Meta suspends or restricts your account, the Service cannot send or receive for you and we are not responsible for that loss.

Conversation charges. Meta charges for WhatsApp conversations under its published rates. Under our standard setup those charges are billed by Meta to the payment method on your Meta account. They are not part of our fees, we do not mark them up, and we do not control them.

4. Acceptable use

You may not use the Service to:

We may suspend accounts that put our platform standing with Meta at risk. We will tell you why and, where practical, give you a chance to fix it first.

5. Your data and content

You own the messages, contacts and other content you and your customers put through the Service ("Customer Data"). You grant us a licence to host, process and transmit it only as needed to provide the Service. For personal data we act as your processor; the Privacy Policy and, where signed, our Data Processing Agreement describe how. You are responsible for having a lawful basis to message your customers and for the content of your messages and templates.

6. Fees and payment

Fees are as stated on the pricing page or in your order. Subscriptions bill monthly in advance in the currency stated on the pricing page; usage overages bill in arrears. Prices exclude GST or other taxes, which we add where required. If a payment fails we may suspend the Service after 7 days' notice. Fees are non-refundable except where the law requires. We may change prices with 30 days' notice; changes take effect at your next renewal. Founding-customer pricing is locked for the period stated in your order.

7. Term and termination

Month-to-month, renewing automatically until cancelled. You can cancel any time from account settings; the cancellation takes effect at the end of the current billing period. We may terminate for material breach not cured within 14 days of notice, or immediately for breach of clause 4 or non-payment. On termination we disconnect your channels and delete Customer Data as described in the Privacy Policy and the Data Deletion page; you can export your data before then.

8. Service levels and support

We aim for high availability but do not promise a specific uptime during the pilot phase. We will give notice of planned maintenance where practical. Support is by email and, for pilot customers, a direct chat line, during Singapore business hours.

9. Intellectual property

The Service, its software and design are ours or our licensors'. You get a limited, non-exclusive right to use it for your business while these Terms are in force. You may not copy, modify, reverse-engineer or create derivative works from it, except as the law permits. Feedback you give us may be used without obligation.

10. Disclaimers

The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or that messages will always be delivered; delivery depends on Meta, carriers and recipients' devices. To the fullest extent permitted by law we exclude all implied warranties.

11. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, consequential, special or punitive losses, or loss of profits, revenue, data or goodwill. Our total liability for all claims in any 12-month period is limited to the fees you paid us in that period. Nothing limits liability for fraud, death or personal injury caused by negligence, or anything that cannot be limited under Singapore law.

12. Indemnity

You will indemnify us against third-party claims arising from your Customer Data, your messages, or your breach of clause 3 or 4.

13. Changes to these Terms

We may update these Terms. For material changes we will email account owners at least 14 days before they take effect. Continued use after that date is acceptance.

14. General

Singapore law governs these Terms and the Singapore courts have exclusive jurisdiction. If a clause is unenforceable the rest stands. You may not assign these Terms without our consent; we may assign them to a successor of the business. These Terms, the Privacy Policy, any DPA and your order form are the entire agreement.
